1. Program Overview
The BrowseBeats Referral Program ("Program") allows eligible users to earn commissions by referring new users to
the BrowseBeats platform. By participating in this Program, you agree to these Terms and Conditions.
2. Eligibility to Participate
To participate as a referrer, you must:
- Have an active BrowseBeats account
- Be registered as an Artist or Producer
- Have a verified and properly configured Stripe Connect account
- Have at least one (1) track uploaded to the platform
- Be in good standing with BrowseBeats (no violations of Terms of Service)
- Be at least 18 years old or the age of majority in your jurisdiction
BrowseBeats reserves the right to verify eligibility at any time and may disqualify participants who do not meet
these requirements.
3. How the Program Works
3.1 Referral Codes
- Each eligible user receives a unique referral code (e.g., BB12345678)
- Referral codes are permanent and reusable
- Referral codes may only be used by the account holder and may not be transferred
3.2 Making Referrals
- Share your unique referral code or referral link with potential new users
- New users must enter your referral code during registration
- Referrals are only valid for new users who have never had a BrowseBeats account
- Self-referrals are prohibited and will result in disqualification
4. Commission Structure
4.1 Subscription Commissions
- Rate: 30% of the referred user's monthly subscription fee
- Duration: Commissions are earned for 12 months from the date of referral
- Recurring: Earned monthly while the referred user maintains an active subscription
- Eligibility: Only applicable when referred user subscribes to a paid plan
4.2 Track & Sample Pack Commissions
- Rate: 10% of the platform commission on sales
- Applicability: Only when referred user (as seller) is NOT a subscriber
- Scope: Applies to track and sample pack sales made by the referred user
- Duration: Commissions are earned for 12 months from the date of referral
4.3 Special Cases
- If both buyer and seller in a transaction were referred by different users, each referrer receives 50% of the
applicable commission
- Commission rates are subject to change with 30 days' notice
5. Commission Processing & Payouts
5.1 Holding Period
- All earned commissions are subject to a 30-day holding period from the date earned
- This holding period protects against refunds, chargebacks, and fraudulent transactions
- Commissions become eligible for payout after the holding period expires
5.2 Payout Schedule
- Eligible commissions are processed on the 1st day of each month at 8:00 PM UTC
- Payouts are transferred directly to your verified Stripe Connect account
- Minimum payout threshold: $0.00 (no minimum)
- You must have a valid Stripe Connect account to receive payouts
5.3 Payment Currency
- All commissions are calculated and paid in USD
- Currency conversion (if applicable) is handled by your payment provider
6. Refunds, Chargebacks & Clawbacks
6.1 Pending Commission Cancellation
- If a referred user requests a refund or initiates a chargeback before your commission is paid, the pending
commission will be automatically cancelled
6.2 Paid Commission Clawbacks
- If a refund or chargeback occurs after you've received a commission, BrowseBeats reserves the right to:
- Deduct the clawed-back amount from future commissions
- Request repayment of the commission
- Suspend or terminate your participation in the Program
6.3 Dispute Holds
- Commissions related to disputed transactions will be held pending dispute resolution
- If the dispute is resolved in favor of the customer, associated commissions will be cancelled
- If resolved in BrowseBeats' favor, normal holding periods will resume
7. Prohibited Activities
The following activities are strictly prohibited and will result in immediate disqualification and forfeiture of
all commissions:
- Fraud: Creating fake accounts, using stolen payment information, or any fraudulent activity
- Spam: Unsolicited mass emails, social media spam, or comment spam
- Misleading Claims: Making false or misleading statements about BrowseBeats or the Program
- Trademark Infringement: Unauthorized use of BrowseBeats trademarks, logos, or brand assets
- Self-Dealing: Referring yourself, family members living in the same household, or business partners
- Paid Advertising Violations: Bidding on BrowseBeats-related keywords without written permission
- Coupon Abuse: Using referral codes in conjunction with unauthorized promotions
- Cookie Stuffing: Using technical methods to generate false referrals
- Incentivized Sign-ups: Offering cash or rewards to users for signing up with your code
8. Program Modifications & Termination
8.1 Program Changes
BrowseBeats reserves the right to:
- Modify commission rates with 30 days' notice
- Change program rules, eligibility requirements, or payout terms
- Suspend or discontinue the Program at any time
- Changes will be communicated via email and/or platform notifications
8.2 Account Termination
BrowseBeats may suspend or terminate your participation if you:
- Violate these Terms and Conditions
- Violate BrowseBeats' Terms of Service
- Engage in fraudulent or abusive behavior
- Fail to maintain eligibility requirements
8.3 Effect of Termination
Upon termination:
- Your referral code will be deactivated
- Pending commissions may be forfeited (at BrowseBeats' discretion)
- Eligible commissions (past the holding period) will be paid out
- You must cease all promotional activities related to BrowseBeats
9. Taxes & Compliance
9.1 Tax Responsibility
- You are solely responsible for all taxes related to referral commissions
- BrowseBeats may be required to report commissions to tax authorities
- You may be required to provide tax information (e.g., W-9, W-8BEN)
9.2 Compliance
- You must comply with all applicable laws and regulations
- You are responsible for disclosing the referral relationship per FTC guidelines or local equivalents
- International participants must comply with their local advertising and endorsement laws
10. Limitations & Disclaimers
10.1 No Guarantee
- BrowseBeats does not guarantee any specific level of earnings
- Commission amounts depend on referred user activity
- Past performance does not indicate future results
10.2 No Employment Relationship
- Participation in the Program does not create an employment, partnership, or agency relationship
- You are an independent promoter
10.3 Platform Changes
- Referred user subscription cancellations, downgrades, or account deletions will affect your commissions
- BrowseBeats is not liable for lost commissions due to referred user actions
11. Intellectual Property
- You may use BrowseBeats branding materials only as provided and approved
- You may not modify, alter, or create derivative works of BrowseBeats intellectual property
- All rights to BrowseBeats trademarks, logos, and content remain with BrowseBeats
- Upon termination, you must immediately cease using all BrowseBeats intellectual property
12. Limitation of Liability
To the maximum extent permitted by law:
- BrowseBeats is not liable for any indirect, incidental, or consequential damages arising from Program
participation
- BrowseBeats' total liability is limited to the amount of unpaid eligible commissions
- BrowseBeats is not responsible for payment processing errors, delays, or failures caused by third-party payment
providers
13. Data & Privacy
- Referral activity and commission data are subject to BrowseBeats' Privacy Policy
- You will have access to limited information about your referrals (aggregate statistics only)
- Personal information of referred users will not be shared with you
14. Dispute Resolution
- Any disputes arising from the Program will be governed by the laws of the state of Vermont
- Disputes will be resolved through binding arbitration in accordance with BrowseBeats' Terms of Service
- You waive any right to participate in class action lawsuits related to the Program
15. General Provisions
15.1 Entire Agreement
These Terms, together with BrowseBeats' Terms of Service and Privacy Policy, constitute the entire agreement
regarding the Referral Program.
15.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions will continue in full effect.
15.3 Waiver
BrowseBeats' failure to enforce any provision does not constitute a waiver of that provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms without written consent from BrowseBeats.
